# How we built Dividendly: a tool born from our own Ltd company admin

> We built Dividendly to create dividend vouchers and board minutes for our own UK Ltd company, then opened it up. Here's the problem it solves and who it's for.

Dividendly generates dividend vouchers and board minutes for UK limited companies. We built it to deal with our own dividend paperwork as a UK Ltd company, then opened it up to other directors. Here is the problem it solves, what it does and who it's for.

At Think Commerce we build digital products for clients every day. Now and then a problem hits close enough to home that we build something for ourselves. Dividendly is one of those.

## The problem every UK Ltd company director knows

If you run a limited company in the UK and pay yourself through dividends, as many directors do for tax reasons, you'll know the paperwork that comes with it.

Every time you take a dividend, [GOV.UK's guidance on taking money out of a limited company](https://www.gov.uk/running-a-limited-company/taking-money-out-of-a-limited-company) says you must:

- hold a directors' meeting to declare the dividend
- keep minutes of that meeting, even if you're the only director
- write up a dividend voucher for each payment, give a copy to each shareholder paid and keep a copy for the company's records
- not pay out more in dividends than the company's available profits from current and previous financial years

That last point is company law: a company may only make a distribution out of profits available for the purpose, under [section 830 of the Companies Act 2006](https://www.legislation.gov.uk/ukpga/2006/46/section/830).

In practice, many directors skip steps, cobble together a Word document or pay their accountant to do it each time. None of those options is good.

That was our situation too. As a UK limited company, we took dividends regularly, and producing the right documents each time was tedious, easy to get wrong and took far more time than it deserved. So we built a solution.

## What Dividendly does

Dividendly is built for UK limited company directors. It generates compliant dividend vouchers and the documents that go with them, quickly and correctly, without involving your accountant for every payment.

It handles:

- **Dividend vouchers:** the formal record each shareholder must receive.
- **Board minutes:** the record of the directors' resolution to declare the dividend.
- **Several shareholders or directors:** for companies with more than one director or more than one class of shares.

The whole process takes minutes rather than most of an afternoon.

## Why we opened it up

Once Dividendly worked for us, it was obvious that other UK limited company directors had the same problem. The tool was already doing the job, so we made it available to them.

It's now used by a growing number of UK company directors. They include consultants, freelancers, agency owners and small business owners who pay themselves through dividends and want the paperwork done properly.

## Who it's for

Dividendly is most useful if you:

- are the sole director and sole shareholder of a UK limited company
- have a small board and a handful of shareholders
- pay yourself mainly through dividends rather than salary
- want to stay HMRC-compliant without paying your accountant for routine documents
- are tired of hunting for a dividend voucher template every quarter

## Built the way we build for clients

Dividendly is one of a small number of tools we've built for our own needs rather than to a client brief. It shows how we work: find a real problem, build a clean solution and ship it.

We take the same approach with client work: Shopify stores, digital products and tools. See [what we build for Shopify brands](https://thinkcommerce.com/services), or read [more about Think Commerce and how we work](https://thinkcommerce.com/about).

If you're a UK limited company director, give [Dividendly](https://dividendly.co.uk) a try. It's the kind of tool that pays for itself the first time you use it. And if you have a Shopify store or a product you want built, [talk to us about it](https://thinkcommerce.com/contact).
